Corporate Governance

The full-service support our corporate group provides includes advice on a wide variety of corporate governance issues. For private equity firms, their portfolio companies, boards of directors, and others, we advise on both routine and sensitive governance matters. In addition to assisting clients in planning board meetings, maintaining records, and negotiating bylaws and charters, we are called on to work through challenging situations confronting company leadership, sometimes involving the termination of senior personnel or an interested-director transaction.

Our representative engagements include:

  • Advising a board of directors on a down-round financing
  • Termination of a founder CEO
  • The sale of one or more portfolio companies to a continuation fund
  • Tender offer of a formerly public company
As necessary, we draw on a number of related practices at Finn Dixon & Herling that support our governance work. Our executive compensation and employee benefits advisors, for instance, confer on the implications of renegotiated pay packages or job responsibilities for high-level executives. In other instances, a board may require an internal investigation to gain a fuller understanding of potential wrongdoing within the company.
