Zachary’s practice focuses on the organization and operation of private investment funds.
Zachary’s experience covers a broad array of investment fund product offerings including private and registered funds with closed-end, open-end, contingent, evergreen and ‘hybrid’ structures investing across a wide range of investment strategies including private credit, special situations, leveraged buyout, growth and structured products including CLOs. In addition to advising sponsors on the formation of commingled investment funds, his practice also includes separately managed accounts, funds-of-one, co-investments, general partner/management company arrangements, regulatory and compliance matters for investment advisers and representing limited partners in connection with their investments in private funds.
Representative matters include:
- Formation of private investment funds with $4.4 billion in capital commitments targeting investments in late- and mid-stage growth companies through structured equity, growth debt and stapled debt and equity opportunities*
- Formation of private credit fund with €1 billion in capital commitments dedicated to direct lending for middle market companies across Europe*
- Formation of multiple commingled funds, funds-of-one and separately managed accounts focused on CLO equity, CLO liabilities, leveraged loans and high yield bonds*
- Formation of $25+ billion private investment fund platform investing alongside sponsor’s other investment platforms and in between-the-box strategies and adjacent opportunities*
Zachary joined the firm in 2024. From 2018 to 2024, he worked at Sixth Street Partners, a leading global investment firm with over $75 billion in assets under management, where he led the fund formation legal function responsible for capital formation and fund legal operational matters across Sixth Street’s investment fund products. From 2013 to 2018, he practiced in the Private Investment Funds group at Cleary Gottlieb Steen & Hamilton LLP, where his practice focused on sponsor-side representation in the formation of private investment funds.
