Tom represents clients in commercial transactions with a particular focus on debt finance matters, including asset based and cash flow lending, acquisition financings, dividend recapitalizations, maritime financings, and equipment leases, and first/second lien, split lien, and senior secured/subordinated unsecured debt structures.
In connection with his representation of lenders, borrowers, sponsors, lessors and lessees, Tom has extensive experience with drafting and negotiating a wide variety of complex commercial contracts, including loan agreements, guaranties, security documents, bareboat charters, and intercreditor and subordination agreements. He has counseled numerous clients through each step of a financing transaction, beginning with the documentation of the initial advance of funds, through amendments, leveraged add-on acquisitions, and incremental financings, and concluding with the final repayment of debt and release of collateral.
Before joining Finn, Dixon & Herling in 2011, Tom was an associate in the Banking and Credit group at the New York office of Simpson Thacher & Bartlett LLP.
