Sal represents borrowers, lenders, and financial sponsors in a variety of finance transactions, with a particular focus on private equity-sponsored acquisition financings, direct lending, and special situations.

His experience spans first lien and second lien financings, unitranche structures, note purchase agreements, mezzanine and subordinated debt transactions as well as cash-flow and asset-based credit facilities. He represents clients at all levels of the capital structure in various industries including financial technology, renewable energy, telecommunications, and skilled trade businesses.

Before joining Finn Dixon & Herling, Sal practiced in the finance and restructuring groups of several leading international law firms and began his career as a law clerk to the Honorable Robert D. Drain of the United States Bankruptcy Court for the Southern District of New York, experience that informs his practical understanding of the business lifecyle, credit agreement enforcement, lien priority, and intercreditor dynamics.

This breadth of practice allows Sal to bring additional depth in liability management, special situations, and intercreditor matters, including advising clients on complex covenant packages and debt structures.
