Michael P. Spiro Leads Lorman Webinar on "Partnership Taxation: Allocations in Partnership and LLC Agreements"

Michael P. Spiro, chair of FDH's Tax practice, led a live webinar on March 19, 2026 for Lorman, a continuing education company that has trained more than 1.4 million professionals on regulations, laws and business changes.

Partnerships and limited liability companies are the most common business entity types in the United States; they are also among the most technical, complex and commonly misunderstood in the Internal Revenue Code.  This webinar assisted attendees in understanding the rules governing partnership allocations and the commercial import of choices and elections that can be made.  The webinar also helped attendees:

* Define substantial economic effect and partners' interest in the partnership

* Describe how 704(b) book allocations differ from tax allocations and the practical import of that difference

* Explain how partnership allocations impact commercial negotiations of partnership and credit agreements, and

* Review the tax provisions of basic partnership agreements.
