David Albin to Present at the American Bar Association’s 2024 National M&A Institute

On November 15th, corporate partner David I. Albin will participate in two CLE panel discussions at this year’s National Mergers & Acquisition Institute, which draws M&A experts from around the country to discuss cutting-edge issues surrounding the negotiation of business acquisitions and deal transactions. 

In the first session, “Private Equity Transactions,” David will delve into the world of private equity transactions and the ways in which they differ from transactions between strategic parties, including the use of documentation unique to transactions involving private equity buyers and the key (and potentially conflicted) roles of target company management. The panelists will also discuss representation & warranty insurance, which has become nearly ubiquitous in private equity transactions.  Joining David on the panel will be Joel I. Greenberg, Senior Counsel at Arnold & Porter (New York, NY) and Rita-Anne O’Neill, Partner at Sullivan & Cromwell (Los Angeles, CA).

The second session, “Ethical Issues in M&A Transactions,” will examine some of the challenging ethical issues that arise in the context of M&A transactions. David will examine the issues relating to truthfulness in negotiations, the so-called “anticontact” rule, the use of artificial intelligence, and conflicts of interest that may exist with respect to buyers, targets and various categories of selling stockholders.  Panelists joining David will include Lisa J. Hedrick, Partner at Hirschler (Richmond, VA) and Sacha Jamal, Knowledge Management Lawyer at Sidley Austin (Dallas, TX).
