Terry advises managers of private equity funds, venture capital funds, co-investment funds and independent sponsors. Her practice includes advising fund sponsors on the formation, negotiation and operation of private investment funds. Terry also advises managers with respect to internal management company and general partner arrangements, including structuring carried interest plans, assisting with employee transitions and succession planning.

In addition to her work advising fund managers, Terry also routinely represents institutional investors, funds-of-funds, foreign investors and foundations in connection with transactional matters, and reviews and negotiates offering materials for potential investments. Terry’s regulatory work for clients includes developing and reviewing policies to meet ongoing compliance obligations.
Prior to joining firm in 2019, Terry worked at Nuveen, a leading global investment management firm with over $1.4 trillion in assets under management, where she was responsible for the day-to-day legal coverage of the TIAA-CREF Lifecycle Funds (now Nuveen Lifecycle Funds) and TIAA-CREF Lifestyle Funds (now Nuveen Lifestyle Funds), which are target-date and risk-adjusted mutual funds, respectively. Terry also provided securities law coverage for the College Retirement Equities Fund (CREF), a $290 billion variable annuity program designed to help educators and non-profit employees grow retirement savings. Previously, Terry was an associate in the private equity fund formation practices in the New York office of several large international law firms.
Outside of work, Terry enjoys tennis, golf and snowboarding, and is actively involved in Scouting America.
