On Thursday, November 14th, FDH attorneys, Michael Spiro and Eitan Ulmer, will lead a panel discussion for the 2024 Federal Tax Institute of New England, presented by the Connecticut Bar Association Estates and Probate Section and Tax Section, which will include various seminars on cutting-edge tax and estate planning issues.
During their seminar, “Tax Considerations and Traps in LLC Buy-Sell Agreement”, Michael and Eitan will examine common issues encountered in negotiating and drafting LLC Agreements for closely held enterprises. They will focus on buy-sell provisions including (i) planning for 754 elections, (ii) opportunities with Section 736, (iii) the impact of Section 751 (iv) 83(b) elections and (v) the impact of capital accounts on buy-sell provisions.
